1. Agreement to Terms
These Terms of Service (“Terms”) govern access to and use of the websites, applications, tools, educational content, community features, reports, downloads and other services offered by Oriqle Holdings LLC (“Oriqle,” “we,” “us,” or “our”), including oriqle.com (collectively, the “Services”). By creating an account, purchasing a membership, accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
2. Educational and Analytical Platform; No Professional Advice
Oriqle is an educational and analytical platform intended to provide information, tools, calculations and resources related to real estate investing and property ownership. Oriqle does not provide investment, financial, legal, tax, accounting, insurance, brokerage, lending or other professional advice. Nothing provided through the Services constitutes a recommendation, solicitation or offer to buy, sell, finance or invest in any property, security or investment.
Calculations, projections, scores, analyses, estimated returns, IRR calculations, cash flow projections, property valuations, risk assessments, market ratings, deal indicators and other outputs may rely on user supplied information, assumptions, mathematical models, third party information and other data. Outputs are estimates for informational and educational purposes only and are not guarantees of accuracy, results or future performance.
Real estate investing involves substantial risk, including possible loss of some or all invested capital. Users are solely responsible for independently verifying information and assumptions and for their own investment, financing and operating decisions. Users should consult qualified professionals as appropriate before acting.
3. Accounts and Security
You are responsible for providing accurate account information, safeguarding your credentials, restricting access to your account and promptly notifying Oriqle of suspected unauthorized use. You may not sell, transfer or make your account available to unauthorized users except where a specific Oriqle plan expressly permits multiple users.
4. Free and Paid Services
Oriqle may offer free functionality, including Deal Analyzer Lite, and paid membership functionality. Features, limits and availability may differ by plan and may change as the Services evolve. Free functionality may include limitations such as inability to save analyses, watermarked exports or restricted access to advanced tools. Paid features are available only while the applicable membership is active.
5. Membership, Billing and Automatic Renewal
Paid memberships are billed at the price and billing interval displayed at checkout. Unless expressly stated otherwise, an annual membership automatically renews each year until canceled. Before purchase, Oriqle will disclose the applicable price, billing frequency, automatic renewal terms and available cancellation method.
If you qualify for the Founding 500 membership rate, your annual base membership rate is $999 and remains $999 per year while the qualifying membership remains continuously active. Cancellation, lapse, failed payment or termination may end eligibility for the Founding Member rate. If membership later resumes, the then-current membership price may apply. Optional premium services, add-ons, coaching, events and future enhanced capabilities may be offered and priced separately.
You authorize Oriqle and its payment processor to charge the payment method you provide for amounts you agree to pay, including applicable recurring renewal charges and taxes.
You may cancel future renewal using the cancellation method made available by Oriqle. Cancellation prevents future renewal charges but, unless required by law or expressly stated otherwise, does not end access before the conclusion of the then-current paid term.
6. Refunds and Cancellation
Refunds and cancellations are governed by the Oriqle Refund & Cancellation Policy, which is incorporated into these Terms by reference. Nothing in these Terms limits rights that cannot lawfully be waived.
7. User Data and Inputs
You retain ownership of information and materials you submit. You grant Oriqle a limited, non-exclusive license to host, process, reproduce and use submitted information as reasonably necessary to operate, secure, maintain, improve and provide the Services, subject to the Privacy Policy.
You represent that you have the right to provide information you submit and that doing so does not violate law or another person’s rights. Do not submit confidential information you are not authorized to disclose.
8. Community Content and Acceptable Use
If Oriqle provides community, messaging or member-content features, you are responsible for content you post. You may not use the Services to violate law; infringe intellectual property or privacy rights; harass, threaten or defraud others; transmit malicious code; circumvent access controls; scrape or reverse engineer the Services except where law expressly permits; or interfere with the security or operation of the Services.
Oriqle may remove content or restrict accounts when reasonably necessary to enforce these Terms, protect users or the Services, or comply with law.
9. Intellectual Property
The Services, including Oriqle branding, software, interfaces, educational materials, models, methodologies, scoring systems, reports and other Oriqle-created content, are owned by Oriqle or its licensors and protected by applicable intellectual property laws. Subject to these Terms, Oriqle grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for your internal personal or business investment purposes.
You may not resell, sublicense, commercially redistribute, create unauthorized derivative products from, or use Oriqle materials to train competing models or services without written permission.
10. Third Party Services and Data
The Services may integrate with or rely on third party services, data providers, payment processors, communications platforms or external links. Oriqle does not control third party services and does not warrant their availability, accuracy or performance. Third party terms may apply.
11. Service Changes and Availability
Oriqle may add, modify or discontinue features as the platform evolves. We aim to maintain reliable access but do not guarantee uninterrupted or error-free operation. Maintenance, outages, third party failures and security events may affect availability.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ORIQLE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ORIQLE DOES NOT WARRANT THAT ANY ANALYSIS, SCORE, PROJECTION, DATA OR OTHER OUTPUT IS COMPLETE, ERROR-FREE OR SUITABLE FOR A PARTICULAR INVESTMENT DECISION.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIQLE AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL OR INVESTMENT LOSSES ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIQLE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO ORIQLE FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain exclusions or limitations, so some of the foregoing may not apply.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Oriqle and its affiliates, owners, officers, employees and contractors from third party claims, losses, liabilities and reasonable expenses arising from your unlawful use of the Services, your violation of these Terms, or content or data you submit in violation of another person’s rights.
15. Suspension and Termination
Oriqle may suspend or terminate access for material violation of these Terms, fraud, abuse, security risk, nonpayment or when reasonably necessary to comply with law. Provisions that by their nature should survive termination will survive.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise. Mandatory consumer rights remain unaffected.
17. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice as required by law. The effective date identifies the current version. Continued use after an update takes effect constitutes acceptance where permitted by law.
